KEYSTONE TERMS OF USE

These Terms of Use (“Terms”) govern your access to and use of the Keystone website, landing pages, forms, portals, content, communications, and related online services (collectively, the “Site”) provided by Keystone (“Keystone,” “we,” “us,” or “our”).
By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1. Scope of These Terms
These Terms apply to your use of the Site and general interactions with Keystone through the Site.
If you purchase services from Keystone, those services are governed by a separate written agreement, order form, statement of work, proposal, or other service document. If there is any conflict between these Terms and a signed service agreement, the signed service agreement controls for those services.
2. Who We Are
Keystone provides business systems, websites, automation, AI-related consulting, implementation, training, lead-flow systems, custom solutions, and related services. Service descriptions on the Site are for general informational purposes only and may change at any time.
3. Eligibility
You must be at least 18 years old and legally capable of entering into binding agreements to use the Site.
4. Permitted Use
You may use the Site only for lawful purposes and in accordance with these Terms.
You agree not to:
- use the Site in violation of any law or regulation
- interfere with or disrupt the Site or its infrastructure
- attempt unauthorized access to any account, system, or data
- scrape, copy, frame, mirror, or reproduce Site content without permission
- use the Site to transmit unlawful, defamatory, fraudulent, infringing, or abusive content
- use the Site to send spam, unsolicited communications, or unauthorized marketing
- impersonate any person or entity or misrepresent your affiliation
5. No Professional Advice
Content on the Site is provided for general informational purposes only. It is not legal, tax, accounting, employment, investment, medical, or other regulated professional advice.
Any AI-, automation-, or systems-related examples on the Site are illustrative only and do not guarantee that a particular solution is suitable for your business.
6. No Guarantee of Results
We do not guarantee any specific outcome from using the Site or from reading or relying on any content made available through the Site.
Without limitation, we do not guarantee:
- leads
- revenue
- conversion rates
- booked appointments
- rankings
- cost savings
- business growth
- uptime
- uninterrupted service
- accuracy or completeness of all content
Results depend on many factors outside our control, including your business, team execution, market conditions, third-party tools, budget, implementation, response times, and compliance practices.
7. AI and Automation Disclosures
Some Keystone services and content may relate to AI systems, automations, agents, or third-party model providers.
You acknowledge that:
- AI-assisted outputs may be incomplete, inaccurate, biased, inappropriate, or outdated
- AI systems may change over time due to model, vendor, API, or policy changes
- AI outputs are not a substitute for independent human review
- Keystone is not responsible for third-party model behavior, drift, outages, or policy changes
You are solely responsible for reviewing and validating any output or recommendation before relying on it.
8. Intellectual Property
The Site and its content, including text, graphics, branding, layouts, videos, downloads, templates, code, documentation, and other materials, are owned by Keystone or its licensors and are protected by intellectual property laws.
Except as expressly permitted in writing, you may not:
- reproduce
- distribute
- modify
- create derivative works from
- publicly display
- publicly perform
- republish
- transmit
- commercially exploit any part of the Site
All rights not expressly granted are reserved.
9. Submitted Information
If you submit information to us through a form, scheduling tool, intake flow, or other channel, you represent that:
- the information is accurate
- you have the right to provide it
- it does not violate any law or third-party rights
You grant Keystone a non-exclusive right to use submitted information as reasonably necessary to respond to your inquiry, provide services, operate the Site, improve our offerings, and as otherwise described in our Privacy Policy.
10. Third-Party Services and Links
The Site may link to or integrate with third-party websites, forms, CRMs, calendars, payment processors, hosting platforms, analytics tools, communications services, AI tools, or other outside providers.
Keystone does not own or control those third-party services and is not responsible for:
- their availability
- content
- accuracy
- security
- performance
- privacy practices
- policies
- pricing
- outages
- account actions
Your use of third-party services is subject to their terms and policies.
11. Communications; Email; SMS; Calls
If you contact us, submit a form, schedule a call, request information, or otherwise provide contact information, you consent to receive communications from us related to your inquiry, services, account, or relationship with Keystone.
These may include:
- phone calls
- SMS or text messages
- appointment reminders
- follow-ups
- onboarding or service-related communications
Where required by law, marketing communications will be sent only with the required consent, and you may opt out as described in our Privacy Policy.
For text messages:
- message frequency may vary
- message and data rates may apply
- you may opt out by replying STOP
- you may request help by replying HELP or contacting us directly
For marketing calls or texts requiring consent, you may revoke consent in any reasonable manner, and we will honor such requests in accordance with applicable law.
12. Payments
If the Site allows purchases, deposits, retainers, or payments, additional payment terms may apply at checkout or in a separate agreement.
Unless otherwise stated in writing:
- fees are due as invoiced or at checkout
- fees are non-refundable except as required by law or expressly stated otherwise
- Keystone may suspend access or services for nonpayment
13. Privacy
Your use of the Site is also subject to our Privacy Policy, which is incorporated by reference into these Terms.
14. Disclaimer of Warranties
THE SITE AND ALL CONTENT, MATERIALS, COMMUNICATIONS, AND INFORMATION PROVIDED THROUGH THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEYSTONE DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
We do not warrant that the Site will be secure, error-free, virus-free, or continuously available.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEYSTONE AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR LOST PROFIT, LOST REVENUE, LOST BUSINESS, LOST DATA, OR BUSINESS INTERRUPTION DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEYSTONE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- THE AMOUNT YOU PAID KEYSTONE THROUGH THE SITE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR
- ONE HUNDRED U.S. DOLLARS (US $100)
Some jurisdictions do not allow certain limitations, so some portions of this section may not apply to you.
16. Indemnification
You agree to defend, indemnify, and hold harmless Keystone and its owners, officers, employees, contractors, affiliates, and agents from and against any third-party claims, liabilities, damages, losses, judgments, fines, penalties, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- your use of the Site
- your violation of these Terms
- your violation of law
- your submitted content or information
- your infringement or misappropriation of any third-party rights
17. Suspension and Termination
We may suspend, limit, or terminate your access to the Site at any time, with or without notice, for any lawful reason, including suspected fraud, misuse, abuse, security concerns, or violation of these Terms.
18. Governing Law and Venue
These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law principles.
Any dispute arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in Utah, and you consent to personal jurisdiction and venue there.
19. Changes to These Terms
We may update these Terms from time to time. We will post the updated version on the Site and update the “Last Updated” date. Your continued use of the Site after changes become effective constitutes acceptance of the revised Terms.
20. Severability; Waiver
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
A failure to enforce any provision is not a waiver of our right to enforce it later.
